Terms of Service

These Terms of Service ("Terms") govern your use of the Megylla mobile applications, website, and related services (the "Service") operated by BrainChain Technology LLC ("Megylla", "Company", "we", "us", or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction to use online services without parental consent, where that age is higher) to use the Service. If you are under the age of majority where you live, you may use Megylla only with the involvement and consent of a parent or guardian, who agrees to these Terms on your behalf. By using Megylla you represent that:

  • You meet the minimum age requirement above, or have the consent and involvement of a parent or guardian
  • You are legally capable of entering into these Terms (or your parent or guardian is, on your behalf)
  • All information you provide is accurate
  • You will comply with applicable laws

2. Description of the Service

Megylla is a digital platform that allows users to:

  • Track bicycles in a personal garage
  • Record maintenance history, costs, and component changes
  • Track mileage and set maintenance reminders
  • Import mileage and equipment ("gear") data from third-party services such as Strava
  • Generate and share bicycle history reports ("Megylla Reports")
  • Associate bicycles with a Frame Registry Exchange (FRX) number
  • Share maintenance posts and photos, follow other users, comment, and give "wrenches" to other users’ posts
  • Create or join a bike shop profile, and authorize a shop or mechanic to view maintenance information for a specific bicycle

Megylla provides record-keeping, informational, and community tools only. Megylla does not provide mechanical inspection, safety certification, or repair advice.

Features may be added, changed, or removed over time. We may modify, suspend, or discontinue any part of the Service, and we will give reasonable notice of changes that materially affect how you use it.

3. User Accounts

To access certain features you must create an account. You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Providing accurate information

Accounts are personal to you and may not be sold or transferred. You may not impersonate another person, create fraudulent accounts, or use the Service for unlawful purposes. Megylla may suspend or terminate accounts that violate these Terms.

4. Community Rules and Objectionable Content

Megylla includes public and semi-public features where users can see one another’s content. We have zero tolerance for objectionable content and abusive behavior.

You agree not to post, upload, or transmit content that:

  • Is unlawful, threatening, harassing, defamatory, or invasive of another person’s privacy
  • Is hateful or discriminatory, or that attacks a person or group on the basis of race, ethnicity, national origin, religion, disability, sex, gender identity, sexual orientation, or age
  • Is sexually explicit, obscene, or depicts or promotes violence or self-harm
  • Sexualizes or endangers a minor in any way
  • Infringes another person’s intellectual property or other rights
  • Contains malware, spam, unsolicited advertising, or fraudulent claims
  • Impersonates another person or misrepresents your identity or affiliation
  • Depicts or facilitates the sale of stolen bicycles, or falsifies a bicycle’s identity, service history, or registry record

You also agree not to scrape the Service, circumvent access controls, interfere with its operation, or use it to harass or stalk another user.

Reporting and blocking. The Service provides tools to report a post, comment, or user, and to block a user. We do not proactively monitor or read your content; we review content when a user reports it. When a report identifies content or conduct that violates these Terms, we will act on it — including removing the content and suspending or terminating the responsible account — promptly, and ordinarily within 24 hours of review. Blocking another user takes effect immediately and does not require our review.

We may remove content or terminate accounts under this section at our discretion, with or without notice.

5. User Content and License

Users may submit information including bicycle details, maintenance records, photos, notes, posts, comments, and ride data ("User Content"). You retain ownership of your User Content.

By submitting User Content you grant Megylla a non-exclusive, worldwide, royalty-free license to store, process, reproduce, and display that content, and to sublicense these rights to our service providers, solely as necessary to operate and provide the Service — including displaying it to other users according to the visibility settings you choose, and to anyone with whom you share a Megylla Report. You represent that you have the rights necessary to submit such content.

Survival for bicycle records. A bicycle’s service history has value beyond any single owner. As described in our Privacy Policy, after your account is deleted we permanently disassociate your bicycles and their maintenance history from you, and retain that history as a record about the bicycle. The license in this section survives termination of your account only to the extent needed to retain and display that disassociated bicycle and maintenance history. It does not survive as to your profile, posts, comments, or other social content, which are removed.

6. Megylla Reports and Sharing

You can generate a shareable link to a bicycle’s maintenance report — for example, to show a prospective buyer its service history.

You should understand before sharing that a Megylla Report displays the bicycle’s full maintenance history, including posts you have marked private, and that anyone holding the link can open the report without signing in. Creating and sharing a link is your decision to disclose that history. You can revoke a link at any time, which immediately stops it from working. Megylla is not responsible for what a recipient does with a report you chose to share, or for copies made before you revoked the link.

7. Data Accuracy and User-Generated Records

Maintenance records, ride data, and bicycle information stored in Megylla are typically entered by users or third parties. Megylla does not independently verify the accuracy of this information. Records may be incomplete, inaccurate, or outdated.

Users should independently verify a bicycle’s condition and history before relying on any maintenance record, including a Megylla Report, in a purchase or sale.

8. Frame Registry Exchange (FRX)

Megylla may include integration with the Frame Registry Exchange (FRX), a registry system that associates bicycles with a unique identification number. FRX numbers may be generated through the Service or assigned by bicycle manufacturers, original owners, or subsequent owners.

FRX registry entries may include manufacturer data, frame specifications, ownership history, and maintenance records. The FRX registry is intended as an informational identification system.

FRX numbers and registry records do not constitute legal proof of ownership, title, or possession of any bicycle. Megylla and BrainChain Technology LLC are not responsible for ownership disputes, and an FRX record is not evidence that a bicycle is not stolen.

9. Third-Party Services

Megylla may integrate with third-party services including ride-tracking platforms such as Strava, and with sign-in providers such as Apple and Google. Your use of third-party services is governed by the terms and policies of those providers. Megylla is not responsible for the availability, accuracy, or operation of third-party services, and a third party’s change to its service may limit or end a Megylla feature that depends on it.

10. Subscriptions and Payments

Megylla is currently offered free of charge, with all features available at no cost. If Megylla introduces paid plans in the future, the applicable terms — including any payments processed through the Apple App Store or Google Play, renewal handling, and refund policies — will be presented at that time. Any pricing changes will be made with reasonable notice.

11. Data Storage, Security, and Privacy

Megylla stores data using secure cloud infrastructure. While we take reasonable measures to protect user data, no system can guarantee absolute security. You are responsible for maintaining the confidentiality of your account.

Our Privacy Policy describes what we collect, how we use it, how content is shared, and what happens to your data when you delete your account. It is incorporated into these Terms by reference.

12. Mechanical Safety Disclaimer

Megylla does not inspect bicycles or verify mechanical condition. Maintenance records, reminders, service suggestions, and mileage-based recommendations within the Service are informational only. They are generated from data you or others entered, are not a substitute for professional inspection, and do not guarantee the safety, roadworthiness, or functionality of any bicycle.

You remain solely responsible for the inspection, maintenance, and safe operation of your bicycles. Cycling carries inherent risks of injury and death. Do not rely on Megylla to tell you a bicycle is safe to ride.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BRAINCHAIN TECHNOLOGY LLC DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY DATA, RECORD, OR RECOMMENDATION AVAILABLE THROUGH THE SERVICE IS ACCURATE, COMPLETE, OR CURRENT.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

14. Limitation of Liability

To the fullest extent permitted by law, BrainChain Technology LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of data, personal injury, or property damage arising from or related to your use of the Service, whether based in contract, tort, or any other theory, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising from or related to the Service shall not exceed the greater of (a) the amount you paid us for the Service during the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of these limitations may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless BrainChain Technology LLC and its officers, members, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

16. Intellectual Property

All intellectual property related to the Service — including software, design, branding, databases, and the FRX registry system — is owned by BrainChain Technology LLC or its licensors. You may not reproduce, modify, distribute, or reverse engineer any portion of the Service without written permission.

If you send us feedback or suggestions, you grant us the right to use them without obligation or compensation to you.

17. Termination and Account Deletion

You may delete your account at any time from within the Service, with one exception: if you are the sole owner of an active bike shop on Megylla, you must first transfer ownership of that shop to another member or delete the shop. This prevents a shop and its members from being left without an owner.

When you delete your account, your profile, posts, bicycles, and reminders are removed from the Service immediately, your follows are removed, any shop or mechanic authorizations you granted are revoked, and your Strava connection is disconnected.

What we retain, and for how long, is described in the Privacy Policy. In summary: we keep the underlying records for up to 90 days so that a deletion made in error can be reversed if you contact us; after that we permanently disassociate your bicycles and their maintenance history from you and delete your profile record. Disassociated bicycle and maintenance history is retained indefinitely as a record about the bicycle, as described in Section 5. You may request erasure sooner, or in full, by contacting us.

Megylla may suspend or terminate accounts that violate these Terms, abuse the Service, or attempt fraud or misuse of the registry. Sections 5 (as to the survival described there), 7, 8, 12, 13, 14, 15, 16, and 21 survive termination.

18. Changes to the Terms

Megylla may update these Terms from time to time. Updated versions will be posted on our website with a revised "Last updated" date. If a change materially affects your rights, we will take reasonable steps to notify you. Continued use of the Service after an update constitutes acceptance of the updated Terms.

19. App Store Terms

The Megylla mobile applications are distributed through the Apple App Store and Google Play. The following applies to the extent required by those platforms:

  • These Terms are between you and BrainChain Technology LLC only, not with Apple Inc. or Google LLC. We, not Apple or Google, are solely responsible for the Service and its content.
  • Apple and Google have no obligation to provide maintenance or support for the applications.
  • To the maximum extent permitted by applicable law, Apple and Google have no warranty obligation with respect to the applications, and are not responsible for addressing any claim relating to them, including product liability claims, claims that an application fails to conform to a legal requirement, or claims arising under consumer protection or similar legislation.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Your use of the applications must comply with the applicable App Store or Google Play terms of service.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as a user of the iOS application.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Oakland County, Michigan, United States, and you consent to their jurisdiction.

Consumer rights. If you are a consumer resident in the European Economic Area, the United Kingdom, or another jurisdiction whose law grants you mandatory protections that cannot be waived by agreement, nothing in these Terms deprives you of those protections, and you may bring proceedings in the courts of your country of residence where the law requires it.

21. General

These Terms, together with the Privacy Policy, are the entire agreement between you and BrainChain Technology LLC regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
